Book Club Host Agreement
Because Evolving Out Loud, Inc. does not supervise or control the Activity or interactions among or between members’ of the Activity wheres and other persons or companies, and because Evolving Out Loud Inc. is not involved in any way with physical transportation to or from the Activity, or with the actions of any individuals at Activity meetings, and because Evolving Out Loud, Inc. does not control Amazon.com, PayPal, credit card companies, or other payment processing companies, and cannot guarantee the true identity, age, or nationality of participants, and because Evolving Out Loud, Inc, has very limited control, if any, over the quality, safety, morality, legality, truthfulness, or accuracy of various aspects of the Activity, I agree that I bear all risk and agree to release Evolving Out Loud, Inc. (and its officers, directors, shareholders, agents, employees, affiliates, subsidiaries, and third-party partners) and Organizers or Hosts and their designees from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, now and in the future, arising out of or in any way connected with my use of the Activity, my third-party transactions, Evolving Out Loud, Inc. resolution of any disputes among users, and/or my transportation to or from, attendance at, or the actions of my own or of other persons at an Activity gathering. I further waive any and all rights and benefits otherwise conferred by any statutory or non-statutory law of any jurisdiction that would purport to limit the scope of a release or waiver. I waive and relinquish all rights and benefits which I have or may have under Section 1542 of the Civil Code of the State of California or any similar provision of the statutory or non-statutory law of any other jurisdiction (including without limitation the states of Missouri, Delaware, and Pennsylvania) to the full extent that I may lawfully waive all such rights and benefits.
I agree to indemnify, defend, and hold all Evolving Out Loud, Inc. parties harmless from any Claims, made by any third party due to or arising out of (a) my violations of this Agreement, (b) my use, misuse, or abuse of the Activity, (c) my Content, (d) my violation of any law, statute, ordinance, regulation, or the rights of a third party, or (e) my participation or conduct in an Activity group that violates this Agreement. I agree to promptly notify Evolving Out Loud, Inc. of any third-party Claims, cooperate with Evolving Out Loud, Inc. in defending such Claims, and pay all fees, costs, and expenses associated with defending such Claims (including, but not limited to, attorneys’ fees). I agree not to settle any Claim without Evolving Out Loud, Inc.’s prior written consent.
In the event that any damage to property or facilities, regardless of ownership, occurs as a result of my, my family’s, my associates’, or any Activity participant’s willful actions, neglect, or recklessness, I acknowledge and agree to be held liable for any and all costs for damage incurred by any such actions.
I acknowledge that the “I Hope I Screw This Up Book Club Kit” contains proprietary and confidential information and is protected by intellectual property laws. Unless Evolving Out Loud, Inc. expressly permits it through this Agreement, I agree not to modify, reproduce, sell or charge a fee, offer to sell or charge a fee, make or create derivative works based on, or distribute any part of our content, including any data, or content of others.
BY CLICKING THE BUTTON BELOW, I ACKNOWLEDGE AND REPRESENT THAT I have read the foregoing Agreement, understand and agree to be bound by it, and agree to it voluntarily; I am at least eighteen (18) years of age and fully competent.
